Cyber-dynamics is fully committed to good corporate governance in the best interest of our clients, employees, business partners, shareholders and society at large.
To demonstrate our commitment and understanding, note that the Corporate Secretary for Cyber-dynamics Inc is Attorney Enrique Flores – former Head of the Legal Department at the Securities and Exchange Commission (SEC). In addition, our Managing Director, Richard Stutely was a professionally-qualified Member of the London Stock Exchange and is a member of the UK Institute of Directors.
Our policies, procedures and guidelines for corporate governance are set out in our Articles of Incorporation, our Board Regulations and the Regulations for our Board Committees.
Other documents on file which for the basis for our codes of corporate governance include the US Sarbanes-Oxley Act of 2002 and SEC guidelines, The Combined Code: Principles of Good Governance and Code of Best Practice (incorporating recommendations of the Cadbury, Greenbury and Hampel reports), published by the London Stock Exchange Committee on Corporate Governance, the Australian ASX Corporate Governance Council Principles of Good Corporate Governance and Best Practice Recommendations, OECD, European and various other comparative studies, recommendations and rules.
Our Corporate Governance Board Committee meets regularly. Its deliberations and suggestions are carefully reviewed by the Board of Directors and implemented as appropriate. |
